This Affiliate Agreement (“Agreement”) is made and entered into as of 8 August , 2023 by and between Aladiah Properties, a Real Estate Brokerage & Developer with its principal place of business at Games Village, Abuja, FCT herein and hereafter referred to as “Company”, and User who signs up for Aladiah Properties’ Affiliate Program, whose official address and full name and other personal information are disclosed accurately on the signup page, who shall herein referred to as “Affiliate”.
WHEREAS, Company operates an affiliate program through its website www.AladiahProperties.com, and Affiliate wishes to participate in the affiliate program to promote and market Aladiah Properties’ products and/or services.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:
Enrollment in the Affiliate Program
1.1 Company grants Affiliate non-exclusive, non-transferable permission to participate in the affiliate program and market Company’s products and/or services as an affiliate.
1.2 Affiliate shall sign up for the affiliate program through [Affiliate Sign-Up URL] and agree to the terms and conditions therein.
Affiliate’s Responsibilities
2.1 Affiliate shall promote Company’s products and/or services using the provided marketing materials, affiliate links, and promotional assets.
2.2 Affiliate shall not engage in any illegal, unethical, or deceptive marketing practices to promote Aladiah Properties’ products and/or services.
2.3 Affiliate shall be solely responsible for all the content created and disseminated in connection with the affiliate program.
Commission and Payment
3.1 Aladiah Properties shall pay Affiliate a commission for qualifying sales generated through Affiliate’s marketing efforts. The commission rate and payment terms shall be specified on the affiliate program sign-up page.
3.2 Aladiah Properties shall track qualifying sales through unique affiliate links provided to Affiliate. All offline sales conducted at our office shall be assigned to the benefiting affiliate who may have referred the buyer. The tracking and calculations of commissions shall be based on Company’s affiliate management platform.
3.3 Commissions shall be paid within 3 days of closing any real estate property deals that originate from your referrals.
Intellectual Property
4.1 Affiliate acknowledges that all intellectual property rights related to Company’s products, services, trademarks, and copyrighted materials are and shall remain the sole property of Company.
4.2 Affiliate may use Company’s approved marketing materials solely for the purpose of promoting Company’s products and/or services as part of the affiliate program.
Term and Termination
5.1 This Agreement shall commence on the Effective Date and continue until terminated by either party upon 60 days’ written notice.
5.2 Company reserves the right to terminate this Agreement and/or the affiliate program at any time without cause.
Confidentiality
6.1 Both parties agree to keep confidential any non-public information disclosed during the course of the affiliate relationship.
Miscellaneous
7.1 This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, whether oral or written.
7.2 This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflicts of laws principles.
